TERMS & CONDITIONS – HOME HEALTHCARE SERVICES AGREEMENT

1. Nature of Services to be Provided by the Service Provider

The Service Provider shall, at the convenience of the Client, be responsible for sponging or bathing, administering oral medication (upon consent of the family), checking vital signs, and providing companionship.

The Client or their representative shall not ask the Service Provider to perform any household work, including personal work for other family members, fetching medicines or groceries from outside, kitchen work, cooking, washing utensils, or laundry.

Domestic work or any kind of household work is not included in any services provided by IndiMac Healthcare.

Activities not mentioned in the Service Agreement shall not be performed by the Service Provider.

IndiMac Healthcare Company, its management team, and its Service Provider are not responsible for performing any activities outside the agreed scope.

If Service Provider perform any activity not mentioned in the Agreement, IndiMac Healthcare Management shall not be responsible for any consequences arising from such activity and shall not be liable for the same.

2. Scheduling and Venue

IndiMac Healthcare is responsible for providing services strictly as per the Agreement. No changes in services, time, place, or duration shall be made without prior approval.

The Service Provider deputed by the Company shall provide care and support only during the specified time limits authorized by the Company. If changes are required, the Client must obtain prior approval from the assigned Coordinator.

Services shall be provided for the hours and days requested by the Client and in accordance with this Agreement at the venue identified at the time of execution.

The Client shall schedule the Service Provider’s hours through IndiMac.

Any change in services or duration may be initiated by the Client or their representative through a phone call, written communication, or mobile application, with a minimum of two (2) days’ advance notice.

A change in venue shall be permitted only with five (5) days’ advance notice to IndiMac.

The venue cannot be changed to a location outside the agreed service area.

In case of a change of venue, IndiMac may, at its discretion, change the Service Provider and revise payment terms.

The Client cannot insist on retaining the same Service Provider at the same charges at the new venue.

While the Company considers client preferences regarding assigning the same Service Provider, if the assigned Service Provider fails to join duty, resigns, or is unable to continue, the Company shall arrange a replacement as required.

If the Company is unable to arrange a replacement due to unavoidable circumstances, payment for the specific duration shall be deducted from the final payment.

As IndiMac provides planned home healthcare services, it does not provide emergency or critical care services.

If the Service Provider fails to reach the Client’s residence and any adverse event or emergency occurs, the Company shall not be responsible. However, a refund for the specific duration shall be provided.

3. Provision of Adequate Sleeping and Living Facilities

The Client and/or their representative shall ensure minimum sleeping time and proper living facilities at the Client’s residence, as mentioned in this Agreement.

The Service Provider must be provided with a proper seating area and access to a lavatory.

In residential (24-hour) care, the Service Provider must be provided with two meals and breakfast daily.

For 12-hour duty, breakfast or tea/snacks shall be provided.

Courtesy and respectful behavior toward Service Provider are expected.

The Client shall provide all supplies required for the safe execution of personal care.

Any medical or non-medical equipment, consumables, medicines, or other required items must be provided by the Client or relatives.

IndiMac may facilitate procurement, and payment shall be made by the Client immediately as per actual cost.

If minimum facilities are not provided for 24 continuous hours, the Service Provider shall inform IndiMac, which shall notify the Client.

If facilities are not resumed after notice, the Service Provider may withdraw from the residence until facilities are restored.

4. Background Checks

IndiMac conducts background verification of qualifications and previous employment history of Service Providers.

These qualifications are disclosed to the Client at the time of Agreement execution, and the Client confirms satisfaction regarding suitability.

5. Replacement of Service Provider

IndiMac shall endeavour to assign a single Service Provider for the duration of the Agreement.

However, the Company reserves the right to change or substitute the Service Provider for leave, festivals, holidays, or emergencies.

Replacement may be requested in cases of:

  • (a) Failure to perform designated duties
  • (b) Accident or emergency (medical or non-medical)

IndiMac requires a minimum of three (3) days to provide an alternate Service Provider.

If a Service Provider leaves, a new available Service Provider shall be assigned, and the Client must cooperate.

6. Service Provider Not a Substitute for Medical Practitioner

The Service Provider is not a substitute for emergency healthcare or regular medical care provided by a doctor.

Service Providers shall only administer or assist with oral medication prescribed by a doctor, as instructed by the Client or representative.

Service Providers shall not prescribe medicines or procedures.

Nursing and physiotherapy services shall follow the scope of work and doctors’ instructions.

Third-party doctors or providers are responsible for their own services.

IndiMac does not provide emergency services.

In case of an emergency, the Patient must be shifted to the nearest hospital by relatives.

If no relative is available, the Service Provider may take necessary action to shift the Patient. Expenses shall be borne by the Client.

IndiMac may provide tele-consultation, lab tests, medicine delivery, equipment at home, and E-reports/E-prescriptions on demand.

7. Termination

The Agreement automatically terminates upon expiry unless renewed in writing.

Either party may terminate with 48 hours’ written notice.

Immediate termination by IndiMac may occur in cases of:

  • (a) Two dishonoured cheque payments
  • (b) Non-provision of essential facilities
  • (c) Verbal or physical misconduct
  • (d) Any violation of Agreement terms

After termination, the Service Provider shall not continue services.

8. Intermediary Role of IndiMac

IndiMac acts solely as an intermediary aggregator between the Client and the independent Service Provider.

Service Providers are independent contractors.

IndiMac shall not be liable for civil or criminal claims arising from their actions.

IndiMac shall provide reasonable coordination support where legally permissible.

Disputes unresolved within 30 days may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

Venue: Anand, Gujarat

Language: English

The Arbitrator’s decision shall be binding.

9. Governing Law

IndiMac and the Service Providers are not responsible for adverse events, infection, harm, sentinel events, or death.

No compensation shall be payable.

This Agreement is governed by the laws of Anand, Gujarat, India.

Jurisdiction lies exclusively with the courts of Anand.

10. Communication and Coordination

Service Providers shall report to IndiMac’s nursing team as required.

The family shall be updated twice within 24 hours; international relatives shall be updated once daily digitally.

Only one person shall coordinate payments.

IndiMac shall not issue medical, death, or fitness certificates.

The next of kin must be available during service.

IndiMac is not responsible for theft, loss, or misplacement.

Communication must be through the Company Coordinator only.

Both parties shall provide 7 days’ notice before discontinuation.

11. Payments & Value for Money

Platform fee

Payment Terms

Payment must be made in advance within 48 hours.

Non-payment leads to discontinuation.

No refund on cancellation without a valid reason.

The Client shall not directly hire the Service Provider for one year.

DO’S AND DON’TS FOR FAMILIES USING HOME HEALTH CARE SERVICES

DO’S

  • Provide clean and functional sleeping conditions — bedsheet, bed, pillow, and blanket. Ensure that they do not sleep in the kitchen, corridors, or other areas where they are likely to be disturbed or uncomfortable. (Applicable for live-in duties only).
  • Provide the Elder Caregiver / Home Health Aide / Nursing Attendant with clean and hygienic toileting facilities in proximity to the work area.
  • Allow the Elder Caregiver / Home Health Aide / Nursing Attendant at least 6 hours of sleep (especially if the patient requires 24/7 care). (Applicable for live-in duties only).
  • Allow them to read or listen to music as long as this does not inconvenience the patient or distract them from their duties.
  • Provide tips and suggestions to help the caregiver understand the patient’s preferences better.
  • Reasonable requests such as reading to the patient or talking to the patient can be made to improve bonding.
  • Provide the caregiver with breaks at periodic intervals (at least two small breaks and one meal break in a 12-hour shift).
  • Ensure regular communication with at least one family member daily.
  • Treat the caregiver with kindness and maintain open communication.
  • Ensure a safe working environment.
  • Provide palatable food (Vegetarian/Non-vegetarian) at least three times daily (breakfast, lunch, dinner). (Applicable for live-in duties only).

DON’TS

  • Do not ill-treat or dictate duties beyond their defined role.
  • Do not treat caregivers like servants by providing leftover food or poor sleeping conditions.
  • Do not threaten, abuse, or insult caregivers.
  • Do not assign household chores beyond patient care.
  • Do not engage in financial transactions with caregivers.
  • Do not give cash or tips directly.
  • Do not offer additional direct services.
  • Do not share financial information.
  • Do not reward with money or valuables.
  • Do not discuss private family matters.

CYBER SECURITY / DIGITAL FRAUD PRECAUTIONS

The Client/Patient acknowledges that the cyber security precautions are provided only for safety and awareness, and IndiMac shall not be liable for any loss, damage, data misuse, cyber fraud, or unauthorized digital or financial activity arising from the Client's/Patient's failure to follow these precautions, including sharing passwords, OTPs, devices, or sensitive information.

The Client/Patient understands that the Care Taker is an independent service provider and IndiMac's role is limited to coordination and facilitation only; however, IndiMac will provide reasonable assistance and coordination support in case of any suspected cyber security issue, without assuming any legal or financial liability.

DECLARATION

I have read and understood the Terms and Conditions of the Home Care Services Agreement of IndiMac (IndiMac Healthcare Pvt. Ltd.), and I affirm that I shall abide by all the terms and conditions in their letter and spirit.

I hereby declare and give consent for home healthcare services (medical, nursing, paramedical, non-medical, and telemedicine) as planned by the treating doctor, healthcare team, relatives, or family members.

I understand that service providers engaged through IndiMac shall not render medical advice or prescribe medication.

I undertake to inform them of all existing medical conditions and allergies.

I understand that any deterioration in health due to doctor-prescribed medication cannot be attributed to the service provider or IndiMac.

I acknowledge that no guarantee has been made beyond what is explicitly stated in this Agreement.

I authorize IndiMac to contact me via telephone/SMS/E-mail/WhatsApp for communication purposes.

I confirm that I am the immediate next of kin and authorized decision-maker.

I accept responsibility for payment within 48 hours as per the estimate provided.

GENERAL TERMS & CONDITIONS

1. Agreement & Scope

These Terms and Conditions, along with the Privacy Policy published on our website, form a legally binding agreement between you (“User”) and IndiMac Healthcare Pvt Ltd (“IndiMac” / “Company”).

This Agreement governs your access to and use of:

The IndiMac website and digital platforms

Any IndiMac-branded software applications through which the Company offers its services

All home healthcare and related services provided by IndiMac

The IndiMac name, brand, and trademarks are those of IndiMac Healthcare Pvt Ltd. IndiMac Healthcare Pvt Ltd is the business operator of the home healthcare and related services offered under that brand and is the Data Fiduciary that determines the purposes for which personal data of Users are processed. Navidad Infotech Pvt Ltd is an independent third-party information-technology service provider. It is the developer and maintainer of the IndiMac-branded website, portal, digital platform, and mobile applications, which are hosted on Navidad Infotech Pvt Ltd’s servers and information-technology facilities. All information-technology services, products, resources, infrastructure, and IT-related personnel in connection therewith are furnished and administered by Navidad Infotech Pvt Ltd. Navidad Infotech Pvt Ltd is not involved in, and has no role in, IndiMac’s finance, business, medical, clinical, operational, or commercial affairs. IndiMac Healthcare Pvt Ltd holds a licence to use such information-technology services, resources, infrastructure, applications, and code as are made available by Navidad Infotech Pvt Ltd for IndiMac’s business operations. That licence does not confer upon IndiMac Healthcare Pvt Ltd any right of access to source code, technical documentation, or servers.

Navidad Infotech Pvt Ltd and its directors, officers, employees, contractors, agents, and affiliates (the “Protected Parties”) are not parties to any contract of healthcare or other service between the User and IndiMac Healthcare Pvt Ltd; are not in partnership, joint venture, agency, employment, or profit- or loss-sharing with IndiMac Healthcare Pvt Ltd vis-à-vis the User; have given no warranty, guarantee, or insurance in respect of IndiMac’s line of business; and owe the User no duty of care. The User is not a consumer of any Protected Party and has paid no consideration to Navidad Infotech Pvt Ltd. IndiMac has not paid Navidad Infotech Pvt Ltd fees commensurate with industry-standard charges for equivalent information-technology services and infrastructure, and no Protected Party has assumed IndiMac’s operational, medical, consumer, or personal-injury risk. IN EVERY CASE AND TO EVERY CAUSE OF ACTION, HOWSOEVER FRAMED, INCLUDING WITHOUT LIMITATION CLAIMS UNDER THE CONSUMER PROTECTION ACT, 2019 AND CLAIMS FOR DEATH OR PERSONAL INJURY, the User irrevocably waives, releases, and forever discharges the Protected Parties from, and covenants not to sue the Protected Parties in respect of, any and all claims, losses, damages, costs, penalties, and liabilities of any kind, whether in contract, tort (including negligence), statute, equity, or otherwise, arising out of or in connection with IndiMac’s business or medical operations; any incident occurring by offline, online, in-person, or digital means; IndiMac’s use of data, technical services, or the IndiMac-branded digital interface; compliance, regulation, penalties, personal-data incidents, technical errors, accidents, issues, fraud, disputes, force majeure, or natural disaster. The User’s sole and exclusive recourse shall be against IndiMac Healthcare Pvt Ltd. The provisions of the Grievance Officer / Data Protection Officer page relating to the Protected Parties are incorporated into this Agreement by reference and form a material part hereof.

2. Disclaimer of Warranties

All content, materials, and services provided through the website are offered on an “as available” basis.

IndiMac does not provide any express or implied warranty regarding:

Accuracy

Reliability

Timeliness

Performance

Suitability for a specific purpose

You acknowledge that errors or inaccuracies may occur, and to the fullest extent permitted by law, IndiMac disclaims liability arising from such issues.

3. Eligibility Criteria

Access to IndiMac services is restricted to individuals who are at least 18 years of age.

By registering, accessing, or using our services, you represent and confirm that:

You are legally competent to enter into binding agreements

You meet the minimum age requirement

You agree to abide by these Terms & Conditions

4. Applicable Law & Jurisdiction

This Agreement shall be interpreted and governed in accordance with the laws of India, including but not limited to:

The Information Technology Act, 2000

The Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011

The Information Technology (Intermediary Guidelines) Rules, 2011

Any disputes shall be subject to the jurisdiction of the Anand, India.

5. Acceptance & Continuation of Use

Your continued use of IndiMac’s website or services signifies your acceptance of these Terms.

If you disagree with any part of this Agreement, you are advised to discontinue use of the website and services immediately.

6. User Accountability

All decisions made based on information available through IndiMac are undertaken at your own discretion and risk.

It is your responsibility to ensure that the services or information provided meet your individual healthcare needs and expectations.

7. Consent for Medical Consultation

By availing medical consultation services, you authorize IndiMac and its associated medical professionals to electronically access, review, and exchange relevant medical information, including:

Personal health details

Ongoing medications

Information disclosed in consultation forms

You affirm that all details submitted are accurate, complete, and not misleading.

Prescriptions are issued based solely on the medical evaluation conducted. IndiMac shall not be responsible for adverse reactions, side effects, or complications resulting from prescribed treatments where full and accurate information was not provided.

8. Trained Nursing Services

Skilled nursing services are delivered by qualified and registered nursing professionals.

These services may include:

Clinical observation and monitoring

Direct patient care

Medication management

Guidance and training for family caregivers

Services that do not require clinical expertise or professional supervision are not categorized as skilled nursing care.

9. Physiotherapy Services

Physiotherapy sessions and related advice are provided by licensed professionals.

Patients are strongly discouraged from self-administering therapy without professional supervision.

IndiMac shall not be liable for injury, damage, or complications resulting from misuse, negligence, or failure to follow professional guidance.

10. Counselling Services

Counselling support may be offered under medical supervision to address emotional, psychological, or illness-related concerns.

Such services are advisory in nature and intended to support overall well-being.

11. Online Medicine delivery & Medical Equipment

Medicines delivery and medical equipment will be provided through authorized third-party vendors.

IndiMac does not assume responsibility for:

Pricing discrepancies

Delivery delays

Product defects and non-functionality

Financial or transactional issues involving third parties

Loss and damage payment obligation

Security deposit

12. Home care Equipment & Home Care Resources

Unless otherwise agreed, essential resources required during home visits must be arranged by the patient or family.

IndiMac shall not be liable for damage, malfunction, or loss of customer-owned equipment.

13. Conduct & Service Termination

IndiMac maintains a zero-tolerance policy toward inappropriate or abusive behaviour.

In the event of misconduct by a patient or relatives:

Services may be discontinued immediately

No refund or continuation of services will be provided thereafter

14. Additional & Ancillary Charges

Certain procedures and services are billed separately from consultation fees, including but not limited to:

Injections

Minor procedures

Diagnostic investigations

Use of specialized instruments

Caregiver services

15. Scope of Standard Consultation

A routine doctor consultation typically includes:

Medical history review

Physical examination

Use of standard diagnostic tools such as stethoscope and BP apparatus

Basic essential examination equipment

Advanced procedures or specialized equipment are not included unless separately specified.

16. Follow-Ups & Time Management

Follow-up visits and continued treatment are subject to applicable charges.

Patients are expected to be available at the scheduled appointment time. Excessive delays or unnecessary extension of service time may attract additional fees.

Special Provisions for Online Healthcare Services

1. Right to Decline Service

IndiMac reserves the right to decline service requests where:

Minimum examination requirements are not met

Adequate cooperation is not provided

Safety or ethical standards are compromised

2. Independent Healthcare Decisions

Choosing to avail IndiMac services is solely at the discretion of the patient or family.

Where hospitalization, diagnostics, or specialist consultation is advised, IndiMac shall not be responsible for subsequent medical outcomes.

3. Operational Coverage Area

Services are available only within designated operational zones as determined by IndiMac.

Laboratory tests and investigations may require a minimum processing time depending on the nature of the service.

4. Digital Documentation Policy

IndiMac operates a primarily digital and paperless system.

Physical copies of prescriptions or reports can be provided upon request and may incur additional charges.

5. External Prescriptions

IndiMac may accept prescriptions from other registered medical practitioners provided they are:

Issued on official letterhead

Supported by a valid registration number

Services will not be provided based on unverifiable or informal medical advice.

6. Medicine Dispensing & Delivery

Prescription medications will only be dispensed upon receipt of a valid prescription from a registered practitioner.

Delivery is limited to designated service areas.

IndiMac is not liable for delays or failures caused by third-party logistics providers.

Valid payment credentials must be furnished by the user.

7. Payments, Charges & Taxes

Users agree to pay all applicable:

Consultation fees

Subscription fees

Service charges

Applicable taxes

Platform service charge

Payments must be completed via approved digital methods.

A transaction is considered successful only after funds are credited to IndiMac’s designated account.

IndiMac shall not be liable for payment failures or losses resulting from third-party payment gateways.

8. Fraud & Misrepresentation

Any fraudulent booking, impersonation, misuse of services, or false representation will invite appropriate legal action under applicable cyber and criminal laws.

Health-related information is treated as sensitive personal data and is handled with enhanced protection and confidentiality.

The booking party confirms valid authorization to share patient information.

Healthcare services are delivered within India.

Personal data may be stored and processed on servers located in India.

By using our services, you consent to cross-border transmission of information as required for care coordination and service delivery.

Currency conversion fluctuations, international banking fees, and payment gateway charges are beyond IndiMac’s control.

IndiMac follows internationally recognized principles of transparency, purpose limitation, and data minimization.

8. Sharing & Disclosure of Information

IndiMac does not sell or rent personal information.

Information may be shared only, when necessary, with:

Registered doctors and healthcare professionals

Diagnostic laboratories

Pharmacy and medical equipment partners

SERVICE CONFIRMATION, REFUND & CANCELLATION POLICY

1. Service Confirmation & Booking Policy

1.1 Advance Payment Requirement

A service shall be considered confirmed only upon successful receipt of the required advance payment deposit for the respective service days.

Payment cycle for long term care will be 1st to 30th of every month, however services can be booked anytime during the month by making payment of that particular month remaining days.

1.2 Verbal Confirmation Not Valid

If a client fails to complete the required advance payment, verbally confirmed services shall not be initiated under any circumstances.

1.3 Deployment Timelines & Payment Cut-Off

Morning Service Deployment

SP scheduling for the next day morning service is finalized daily at 6:00 PM.

To initiate service the following morning, payment must be successfully received before 6:00 PM on the previous day.

Any payment received after 6:00 PM will be considered for deployment subject to SP availability.

Night Service Deployment

SP scheduling for night services is finalized daily at 12:00 PM (noon).

For a same-day night service, payment must be successfully received before 12:00 PM (noon).

Any payment received after 12:00 PM will be considered for night-service deployment subject to SP availability.

1.4 Clinical Services (Subject to Availability)

Bookings for:

Nursing procedures

Doctor home visits

Physiotherapy visits

shall be accepted strictly based on the availability of qualified service providers.

Assignment may take 12 to 24 hours for procedures or visits.

Long-term care services may require up to 48 hours for deployment and confirmation.

1.5 Emergency Services Disclaimer

IndiMac does not provide emergency medical services.

However, in exceptional cases, we may attempt to arrange a service provider after 6:00 PM or for next-day deployment even if booked post cut-off. In such cases:

Availability is not guaranteed.

Additional emergency or urgent deployment charges may apply.

1.6 Operational Hours

Our standard operational hours are 8:00 AM to 8:00 PM (IST).

Requests outside operational hours will be processed on the next working schedule.

2. Renewal of Services

4.1 Clients must renew services at least 24 hours prior to exhaustion of their advance payment balance.

4.2 Failure to renew within this timeframe may result in:

Reassignment delays

IndiMac shall not be responsible for service interruption due to delayed renewal.

3. Refund Policy

2.1 General Refund Policy

Once payment is made, it shall not be refunded under normal circumstances.

The paid amount will be credited to the client’s IndiMac service portal account and may be utilized for future services.

2.2 Exceptions for Refund

Refunds shall be processed only under the following conditions:

Death of the patient or elders (valid documentation required)

Permanent unavailability of competent Service Provider for the required service

Patient or elders is hospitalised in the critical conditions and not recovered and returnee to home.

2.3 Discount & Offer Adjustment

In case of eligible refund:

All applied discounts, promotional offers, or special pricing benefits shall be withdrawn at the time of refund.

The refund amount will be calculated accordingly.

2.4 Refund Timeline

Approved refunds will be processed within 7–10 working days and credited to the same bank account or payment method from which payment was originally made.

4. Service Dissatisfaction & Service Provider Replacement

If a client is dissatisfied with the assigned Service Provider (SP):

IndiMac will make reasonable efforts to replace the Service Provider based on the client’s genuine service-related concerns.

Replacement will be subject to the availability, suitability, and service requirements of an appropriate Service Provider.

Refunds will not be applicable solely due to dissatisfaction where a suitable replacement has been offered by IndiMac.

Refunds will not be entertained for personal preferences or repeated preferences regarding a particular Service Provider, provided the assigned SP is otherwise suitable for the required service.

Service Discontinuation Due to Requirement Fulfilment

If a client states that their care requirement has been fulfilled and they no longer require IndiMac services, the company will accept the decision after completing the required service closure formalities at the elder’s home.

The closure must be properly documented, including the reason for discontinuation and confirmation from the client/family.

Prohibition on Direct Engagement with Service Providers

Once IndiMac services have been discontinued, the client/family is strictly prohibited from directly engaging, hiring, or taking any paid or unpaid services from the Service Provider introduced/deployed by IndiMac for that client, outside the IndiMac system and without written authorization from IndiMac.

Any such arrangement will be considered a violation of IndiMac’s service terms and conditions.

5. Suspension or Cancellation by IndiMac

IndiMac Healthcare Pvt Ltd reserves the right to hold, suspend, or cancel services under special circumstances including but not limited to:

Payment failure or non-renewal

Misbehavior or misconduct towards service provider or company’s employees

Unsafe working environment

Any form of threat to Service Provider safety

Misrepresentation of medical condition or identity

In such cases, refunds (if any) shall be processed strictly as per Clause 2 of this Policy.

6. Acceptance of Policy
